TERMS OF SERVICE
Plain terms for plain work.

These terms apply to every project, maintenance plan, and invoice from Kee Engineering LLC ("we", "us"). A signed proposal or statement of work adds the specifics for your project and controls if it conflicts with anything here. By paying an invoice you agree to these terms.
Scope and proposals
Every project starts with a written proposal that lists what we will build, what you will provide, the price, and the timeline. Work outside that proposal is a change request. We quote change requests in writing before starting them, and they are billed separately.
Fixed-price projects include the number of revision rounds stated in the proposal (two, unless it says otherwise). Additional rounds are billed at our hourly rate.
Payment
Projects. Fixed-price projects are billed 50% as a deposit and 50% at launch, unless the proposal sets a different schedule. Work begins when the deposit clears. The balance is due before the site or software goes live under your domain or into your production environment.
Invoices. Invoices are due 14 days from the invoice date unless stated otherwise. We may pause work on any project with an invoice more than 14 days overdue, and the timeline extends by the length of the pause.
Payment methods. Card and bank transfer through Stripe. Bank transfer is preferred for larger invoices. Payments are non-refundable once the work they cover has been delivered, except as described under Cancellation.
Your responsibilities
You provide the content, images, logos, account access, and decisions listed in the proposal by the dates it sets. Timelines assume timely feedback, usually within five business days of a request. Delays on your side extend the timeline by the same amount. You confirm you have the right to use any material you give us.
Ownership
Yours. Once the final invoice is paid, you own the website or software we built for you, all content and images you supplied, and your domain name. Domain and hosting accounts are registered in your name or transferred to you on request.
Ours. We keep ownership of our reusable tools, templates, libraries, and know-how, including anything we built before or outside of your project. You receive a perpetual, royalty-free license to use them as part of your delivered work. We may reuse them for other clients.
Open-source software in your project stays under its own license. We may show your project in our portfolio unless you ask us not to.
Maintenance plans
What is included. A maintenance plan covers hosting, domain and SSL management, backups, security and dependency updates, uptime monitoring, and the number of small content or design changes listed in your plan each month. Unused changes do not roll over.
What is not included. New features, redesigns, writing content, third-party service fees you sign up for directly, and anything beyond the monthly change allowance. We quote these separately.
Billing and cancellation. Plans bill monthly in advance to the payment method on file and continue month to month. Either of us can cancel with 30 days' written notice. When a plan ends we hand over your site files, content, and account access so you or another provider can host it. Hosting we manage ends with the plan.
Failed payments. If a payment fails and is not resolved within 14 days, we may suspend the plan, which can take the site offline until payment is made.
Consulting and retainers
Hourly work. Consulting is billed by the hour with a two-hour minimum. We agree the scope and an estimate in writing before starting and tell you before exceeding the estimate. Hours are invoiced at the end of the work or at the end of each month, whichever comes first.
Retainers. A retainer is a monthly block of hours billed in advance on the first of the month. Unused hours expire at the end of the month and do not roll over. Hours beyond the block are billed at the hourly rate. Either of us can cancel with 30 days' written notice.
Assessments and audits. Fixed-price assessments cover the scope stated in the proposal and end with a written report. The report reflects our professional judgment at the time; decisions made from it are yours.
Cancellation
You can cancel a project at any time in writing. You pay for work completed up to that point, billed against the deposit first, and we deliver what exists at that stage. We can cancel if invoices go unpaid or if a project cannot proceed for reasons outside our control, and we refund any payment for work not yet performed.
Warranty and support
We fix defects in our own work reported within 14 days of launch at no charge. After that, fixes are covered by a maintenance plan or billed hourly. We do not guarantee uninterrupted uptime, search rankings, or results from third-party services such as hosting providers, payment processors, or analytics tools.
Limits on liability
Our total liability for any claim related to a project or plan is limited to the amount you paid us for that project, or for the 12 months of the plan preceding the claim. We are not liable for indirect losses such as lost revenue, lost data caused by third parties, or downtime outside our control. Nothing here limits liability that cannot be limited by law.
Third-party services and AI
Projects usually depend on services you hold the account for: hosting, domain registrars, payment processors, email, analytics, and model providers for AI features. You are responsible for those accounts, their fees, and their terms. We configure and maintain them as part of the work but do not control their pricing, availability, or policy changes.
AI-assisted features produce output that can be wrong. We design, test, and review them, and we tell you where human review is required, but we do not guarantee the accuracy of model output. We may use AI tools in our own development process; the responsibility for the delivered work remains ours.
Using this website
Information on kee-eng.com is general and provided as is. A contact form submission or email is an inquiry, not a contract; nothing is agreed until a proposal is signed or an invoice is paid. How we handle what you send us is described in ourprivacy policy.
Confidentiality
We keep your non-public business information, credentials, and data confidential and use them only to do the work. You do the same with our pricing and internal materials. Government engagements may carry additional terms in the contract or task order.
The legal part
These terms are governed by Florida law. Disputes are resolved in the state or federal courts for Manatee County, Florida, after a good-faith attempt to work it out directly. If any part of these terms is unenforceable, the rest still applies. We may update these terms; the effective date above changes when we do, and the version in effect when you signed your proposal applies to that project.
